Terms of Service

These terms govern your use of Hanno’s website, application and API (the Service), operated by Desert Rose Investments Pty Ltd (ABN 93 672 354 022) (we, us, our). By creating an account or using the Service, you agree to these terms. If you use the Service for a business, you confirm you are authorised to bind that business.

1. Eligibility

You must be at least 18 and able to enter a contract. The Service is intended for Australian business use.

2. The Service

Hanno is cloud accounting and ledger software with an API, bank-feed reconciliation and AI-assisted suggestions. It is a tool to help you manage your books. It is not a substitute for a qualified accountant or a registered tax or BAS agent.

3. Your account and API keys

Keep your credentials and API keys secure and treat them like passwords. You are responsible for activity under your account and keys. Tell us promptly of any unauthorised use. API keys are read-only and scoped to your business in this version of the Service.

4. Bank feeds and the Consumer Data Right

Bank data is retrieved through Basiq under the Consumer Data Right, with your consent, and you authorise us to collect and use it to provide the Service. You may withdraw consent at any time. Because feeds depend on third parties and data holders, we do not guarantee they are always complete, accurate or current.

5. Acceptable use

You must not use the Service unlawfully, infringe others’ rights, reverse-engineer or circumvent its security, exceed fair-use or rate limits on the API, or upload another person’s data without authority.

6. Your data

You own your data. You grant us a licence to host, process and display it to provide the Service, and to use it in de-identified or aggregated form to improve the Service. You are responsible for the accuracy and lawfulness of the data you enter.

7. Fees

The Service may currently be offered free or in beta. We will give you reasonable notice before introducing or changing fees, and you can stop using the Service if you do not agree.

8. Not financial, tax or accounting advice

Hanno provides software, not advice. Reports, figures and AI-generated suggestions are informational, may contain errors, and must be verified by you. You are responsible for your own financial, tax and accounting decisions and for meeting your obligations (including to the Australian Taxation Office). We recommend you engage a registered tax or BAS agent or a qualified accountant.

9. AI-assisted suggestions

Some features generate automated suggestions, such as transaction coding. These are suggestions only, require your review and approval, and are not advice. You remain responsible for anything you accept.

10. Intellectual property

We own the Service, its software and all related intellectual property. We grant you a limited, non-exclusive, non-transferable licence to use the Service under these terms. If you give us feedback, we may use it without obligation to you.

11. Availability and beta

The Service may be in beta and is provided on an “as is” and “as available” basis. Features may change, and we do not guarantee uninterrupted availability.

12. Third-party services

The Service integrates third parties such as Basiq, banks, Google and GitHub. Their own terms apply to their parts of the experience, and we are not responsible for their acts or omissions.

13. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where the Australian Consumer Law allows us to limit our liability for breach of a non-excludable guarantee, our liability is limited, at our option, to re-supplying the Service or paying the cost of having it re-supplied.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profits, data or goodwill; we are not liable for inaccuracies in third-party or bank data, or for your financial, tax or accounting decisions; and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim, or AUD $100 if you paid nothing.

15. Indemnity

You indemnify us against claims, loss and costs arising from your breach of these terms, your unlawful use of the Service, or the data you provide, except to the extent we caused the loss.

16. Suspension and termination

You may stop using the Service or close your account at any time. We may suspend or terminate your access for breach, legal reasons or genuine risk. On termination, your right to use the Service ends and we handle your data in line with our Privacy Statement, including export and deletion.

17. Changes

We may change the Service or these terms. We will notify you of material changes, and your continued use after the changes take effect means you accept them.

18. Governing law

These terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of Victoria.
